Terms of Use

These Terms of Use (“Terms”) govern your access to and use of buildlogiq.ai and the content, free tools, communities, programs, technology, and other services provided by BuildLogIQ Group, Inc. (“BuildLogIQ,” “we,” “us,” or “our”). By accessing or using a service after receiving notice of these Terms, you agree to them. If you do not agree, do not use the service.
1. Eligibility and authority
You must be at least 18 years old and legally able to enter into these Terms. If you access or use a service for a company or another organization, you represent that you have authority to bind that organization, and “you” includes both you and that organization.
2. Scope and other agreements
These Terms apply to the public website and generally available BuildLogIQ services. A particular membership, program, technology feature, purchase, or advisory engagement may also be governed by an order form, membership agreement, statement of work, data-processing agreement, or other written agreement. If another written agreement conflicts with these Terms, that agreement controls for the applicable service.
Our Privacy Policy explains how we collect, use, disclose, and protect personal information and is incorporated into these Terms by reference.
3. Services and availability
BuildLogIQ provides business content, free tools, membership and peer-community experiences, operational and advisory resources, and technology intended primarily for owner-led contractors and trusted industry professionals.
We may modify, update, suspend, or discontinue free content, tools, website features, or generally available services. We are not required to maintain any free feature indefinitely. Changes to a paid service remain subject to the applicable written agreement.
4. Accounts and accurate information
When an account is required, you agree to provide accurate information, protect your credentials, and promptly notify us of suspected unauthorized use. You are responsible for activity conducted through your account until you notify us of unauthorized access.
5. Membership and community conduct
BuildLogIQ communities depend on candor, discretion, and trust. You may not record, distribute, attribute, or commercially exploit another participant’s nonpublic statements, documents, contact information, or business information without authorization. You must not use community access to solicit, harass, mislead, or pressure another participant.
Membership or participation may be invitation-based and subject to review. We may limit or end participation when reasonably necessary to protect participants, preserve the purpose of the community, address risk or disruption, or enforce applicable terms.
6. BuildLogIQ recordings and transcriptions
BuildLogIQ may record or transcribe calls, meetings, webinars, workshops, interviews, and program or community sessions for service delivery, participant access, documentation, accessibility, quality review, and improvement of our programs and materials. We will provide notice before recording begins and obtain consent when required by applicable law. If you do not consent, do not join or remain in the recorded session and contact us to ask whether a reasonable alternative is available.
Unless we tell you otherwise, access to a recording of a private or member session is limited to BuildLogIQ, its service providers, and the participants or other intended recipients of that session. We will not publicly identify you, use an identifiable recording or quotation in marketing, or distribute a private-session recording outside its intended audience without separate permission, except as required by law or reasonably necessary to protect rights, safety, security, or service integrity.
Automated transcription and summarization may produce errors. Recordings, transcripts, captions, notes, and summaries are informational records and must be reviewed before they are relied upon for a consequential decision. You may not record or distribute a session yourself unless BuildLogIQ and all persons whose authorization is required have agreed.
7. Educational information; no professional advice
Public content, free tools, and general educational materials are provided for business, educational, and informational purposes. They do not constitute legal, tax, accounting, investment, engineering, safety, employment, insurance, or other regulated professional advice. They are not an audit, certification, guarantee, or substitute for examining the facts and records of a particular company.
You remain responsible for your company and for obtaining qualified professional advice before making decisions affecting projects, employees, clients, contracts, finances, safety, compliance, or other consequential matters.
8. AI and decision-support features
Some services may use artificial intelligence or automated tools to organize information, generate drafts, identify patterns, or support analysis. Information or materials you provide to an AI feature are “Inputs,” and materials the feature generates in response are “Outputs.” Outputs may be incomplete, inaccurate, or unsuitable for a particular purpose. You must independently evaluate Outputs and apply appropriate human and professional review.
Outputs may not be unique, and other users may receive the same or similar materials. As between you and BuildLogIQ, and to the extent permitted by law, you retain your rights in Inputs and may use Outputs generated specifically for you. This does not transfer rights in BuildLogIQ materials, third-party materials, underlying models, software, methods, or other technology, and BuildLogIQ does not represent that an Output is copyrightable, exclusive, or free of third-party rights.
BuildLogIQ does not make business or professional decisions for you. Unless a separate written agreement expressly authorizes and describes a particular automated action, an AI or automated feature is not authorized to send external communications, modify third-party records, approve or commit funds, enter agreements, or take another consequential action on your behalf. Any such agreement may establish permissions, approval requirements, safeguards, providers, access, retention, and review responsibilities.
You remain responsible for decisions made and actions taken using Outputs, including confirming facts, obtaining appropriate professional review, and verifying that a proposed action is authorized before it is carried out.
9. Your content
You retain ownership of information, documents, and materials you submit (“User Content”). You grant BuildLogIQ a nonexclusive, worldwide, royalty-free license to host, copy, process, transmit, and display User Content to you and authorized recipients only as reasonably necessary to provide, secure, support, and maintain the requested service, comply with law, and enforce applicable agreements.
This license does not permit BuildLogIQ to sell your User Content or use confidential User Content to train or fine-tune an AI model for general or cross-client use unless a separate written agreement expressly authorizes that use. BuildLogIQ may create and use properly aggregated or de-identified information as described in the Privacy Policy, provided that it cannot reasonably be linked to you, your company, or another identifiable person and does not reveal your company’s confidential information. This does not authorize BuildLogIQ to use identifiable or confidential User Content for general or cross-client AI training. The license ends when the User Content is no longer reasonably needed for the permitted purposes, subject to applicable retention requirements, legal holds, and routine backup processes.
Providing User Content for an inquiry or service does not by itself authorize BuildLogIQ to identify you publicly as a client, member, or participant; publish a testimonial or case study; or use your name, company name, logo, image, video, or identifiable engagement results in public marketing. Any such use requires documented permission or a written agreement that specifically authorizes it.
You represent that you own or have the permissions needed to provide User Content and that our permitted processing of it will not violate law, confidentiality obligations, or another person’s rights.
10. Confidential and sensitive information
General use of the public website or submission of an initial inquiry does not by itself create a confidential, fiduciary, or professional-client relationship. BuildLogIQ handles personal information as described in the Privacy Policy. Confidentiality obligations for nonpublic business information provided during a private or paid engagement are governed by the applicable written agreement.
Do not submit information you are not authorized to disclose. Unless BuildLogIQ specifically requests information through an approved method and a written agreement permits it, the services are not designed to receive Social Security numbers, payment-card authentication data, protected health information, account passwords, classified information, or other highly sensitive or regulated information.
11. Feedback
If you voluntarily provide an idea or suggestion about improving BuildLogIQ outside the confidential scope of a written engagement (“Feedback”), you grant BuildLogIQ a nonexclusive, perpetual, irrevocable, worldwide, royalty-free right to use and incorporate that Feedback without compensation or obligation to you. Do not include confidential information belonging to you or another person in Feedback. User Content provided for a service is not Feedback merely because it may reveal an opportunity to improve that service.
12. BuildLogIQ intellectual property
The services, website, software, designs, methods, branding, articles, frameworks, graphics, and other BuildLogIQ materials are owned by BuildLogIQ or its licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable right to access and use those materials for their intended business purpose. No other rights are granted.
13. Acceptable use
You may not:
- use the services unlawfully, fraudulently, deceptively, or to harm another person;
- interfere with the security, integrity, availability, or normal operation of a service;
- attempt unauthorized access to accounts, systems, networks, or data;
- introduce malware, harmful code, or an unreasonable or disproportionately large technical load;
- circumvent security, access, usage, or copy-protection controls;
- reverse engineer, scrape, frame, systematically copy, or extract a service except where BuildLogIQ or applicable law expressly permits it;
- misrepresent identity, affiliation, authority, source, qualification, or results;
- use another member’s or client’s nonpublic information without permission;
- use the services or output to develop or train a competing model, dataset, product, or service without written authorization; or
- remove or alter ownership, attribution, copyright, trademark, or other proprietary notices.
14. Fees and payment
Fees, billing schedules, renewals, cancellation terms, and refund rights, if any, will be stated in the applicable order form or service agreement. You are responsible for applicable taxes other than taxes imposed on BuildLogIQ’s income. Ending website use does not cancel or change payment obligations under a separate written agreement.
15. Third-party services
The services may integrate with or link to third-party services. BuildLogIQ does not control and is not responsible for third-party terms, content, availability, accuracy, security, or privacy practices. Your use of a third-party service may be subject to separate terms between you and that provider.
16. Suspension and termination
You may stop using the public website and free services at any time. Rights to end a membership, paid service, or advisory engagement are governed by the applicable written agreement.
We may suspend or terminate access when you violate these Terms, create material risk or harm, fail to pay an undisputed amount when due, misuse a service, disrupt a community, or when suspension is reasonably necessary to protect BuildLogIQ, another user, or the integrity of a service. When reasonably practicable, we will provide notice and an opportunity to address a correctable issue. We may act immediately when needed to address security, unlawful conduct, safety, confidentiality, or material harm.
17. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PUBLIC WEBSITE, FREE TOOLS, GENERAL CONTENT, AND ANY SERVICE NOT SUBJECT TO DIFFERENT WRITTEN WARRANTIES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” BUILDLOGIQ DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND RESULTS. WE DO NOT WARRANT THAT A SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR THAT IT WILL PRODUCE A PARTICULAR BUSINESS, FINANCIAL, OPERATIONAL, OR REFERRAL OUTCOME.
18. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUILDLOGIQ AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, REPUTATION, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUILDLOGIQ’S AGGREGATE LIABILITY ARISING FROM OR RELATED TO A SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID BUILDLOGIQ FOR THAT SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100 IF YOU PAID NOTHING. A DIFFERENT LIMIT IN A SIGNED WRITTEN AGREEMENT CONTROLS FOR THE APPLICABLE SERVICE.
19. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless BuildLogIQ and its affiliates, officers, directors, employees, and agents from third-party claims, damages, losses, liabilities, and reasonable expenses arising from your User Content, your unlawful or material misuse of a service, or your material violation of these Terms or another person’s rights.
20. Informal resolution, governing law, and venue
Before filing a formal claim, each party agrees to provide written notice describing the dispute and requested resolution and to attempt in good faith to resolve it informally for at least 30 days. This requirement does not prevent either party from seeking temporary or emergency relief when necessary to protect confidential information, intellectual property, security, safety, or other rights from immediate harm.
Except where applicable law requires otherwise, these Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Orange County, California, and each party consents to their personal jurisdiction and venue. These Terms do not require arbitration or waive a right to a jury trial or class proceeding. Mandatory rights and procedures that cannot lawfully be limited remain unaffected.
21. No guaranteed relationships or results
Use of the services, participation in a community, or an introduction made through BuildLogIQ does not create a partnership, joint venture, franchise, employment, agency, fiduciary, professional-client, or exclusive relationship. BuildLogIQ does not guarantee introductions, referrals, leads, transactions, revenue, savings, operating results, or any participant’s qualifications or conduct. You remain responsible for evaluating and deciding whether to enter a relationship or transaction with another person.
22. Changes to these Terms
We may update these Terms as our services or legal obligations change. We will post the revised Terms and update the effective date. When reasonably practicable, we will provide advance notice of a material change to users of an affected account or paid service. Changes to these website Terms do not amend a separately signed agreement. Continued use after revised Terms take effect constitutes acceptance to the extent permitted by law.
23. General terms and survival
If a provision is found unenforceable, it will be modified or removed only to the minimum extent necessary, and the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a reorganization, merger, financing, acquisition, or sale of all or part of our business.
These Terms and any applicable written agreement constitute the entire agreement concerning the relevant service. Section headings are for convenience only. Provisions that by their nature should survive termination—including provisions concerning ownership, permitted content use, confidentiality, fees owed, disclaimers, liability limitations, indemnification, disputes, and general terms—will survive.
